On April 25, 2008 the National Bank of Slovakia, with its registered office at Imricha Karvaša 1, 813 25 Bratislava, Slovakia, approved the Prospectus, based on which Asseco Slovakia, a.s. (since May 2010 Asseco Central Europe, a.s.; hereinafter “Asseco Central Europe”) is going to offer through public offering and apply for listing on the Warsaw Stock Exchange of 3,560,000 common bearer book-entry shares in Asseco Central Europe.

The following electronic version of the Prospectus has been published based on the act No. 566/2001 Coll., Act on Securities, as amended. The Prospectus constitutes the only legally binding document containing information on Asseco Central Europe and the shares it intends to offer through public offering and to have listed on the Warsaw Stock Exchange. Investors are advised to carefully read the contents of the entire Prospectus, in particular the section describing risks connected with investing in Asseco Central Europe’s shares in the section “Risk Factors”. All investment decisions concerning the securities need to be made following a thorough consideration of the entire Prospectus.
